1. Platform scope
Ordafy is a commerce platform operated by Ordafy Limited (“we”, “us”, “our”), a company registered in England and Wales (company number 16063522). These Terms apply to the Ordafy platform and features accessible via ordafy.com (including customer-facing pages and Shop experiences under /shop) and business.ordafy.com (including Business tools, Pay by Link, and POS).
If a specific feature or flow presents additional terms at checkout or during onboarding (for example, merchant onboarding for payouts), those terms apply in addition to these Terms.
2. Acceptance & eligibility
By using our services you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the authority to enter into these terms. If you use our services on behalf of an organisation, you represent that you are authorised to bind that organisation. We may refuse or suspend access where we reasonably believe terms have been breached or the service is being misused.
3. Accounts & security
You may need an account to use certain products. You are responsible for keeping your credentials secure and for all activity under your account. One account can be used across Ordafy products where we have enabled single sign-on. You must provide accurate information and update it when it changes. We may suspend or terminate accounts that breach these terms or our acceptable use standards.
4. Acceptable use
You must not use our services to break the law, infringe others’ rights, send spam or malware, attempt to gain unauthorised access to systems or data, or otherwise harm Ordafy, other users, or third parties. Product-specific rules (for example marketplace seller and service-provider conduct under Ordafy Shop, or merchant obligations for Pay by Link and POS) are set out in the relevant sections below and at checkout or onboarding. We may remove content or suspend access where we reasonably consider there is a breach.
5. Payments, fees & refunds
Where you pay for goods or services on Ordafy, the applicable checkout pages describe the price, any fees, and any refund or cancellation options. How card payments and merchant payouts work (including Stripe Connect) is summarised in our Payments & payouts page. Refund eligibility and process are set out in our Refund Policy and in each provider’s policy shown at purchase. Ordafy Business platform subscriptions (Pro, Business+, Enterprise) are separate — see section 12 and our Business subscriptions & billing terms.
6. Intellectual property
We (or our licensors) own the rights in the Ordafy brands, websites, software and content we provide. You may use our services only in line with these terms and any product-specific terms. You retain rights in content you submit; you grant us the licences we need to operate the services (e.g. to display and process your listings, events or data). You must not copy, scrape or reverse-engineer our services without permission.
7. Disclaimers & limitation of liability
Our services are provided “as is”. We do not guarantee uninterrupted or error-free operation. We are not liable for indirect, consequential or special damages, or for loss of profit, data or goodwill, except where we cannot lawfully exclude such liability (e.g. death or personal injury caused by our negligence, or fraud). Our total liability to you for claims arising from your use of our services is limited to the amount you paid us in the 12 months before the claim (or, if greater, £100), unless a product’s terms state otherwise. These limits apply to the fullest extent permitted by law.
8. Indemnity
You agree to indemnify Ordafy Limited and its affiliates from claims, losses and costs (including legal fees) arising from your use of our services, your breach of these terms, or your violation of any law or third-party rights.
9. Termination and account deletion
We may suspend or terminate your access to the platform or a product if you breach these terms or for other serious reasons. You may stop using our services at any time. For how to request deletion of your account and personal data, see our Privacy Policy (Account deletion). Termination of paid Business subscriptions is set out in our cancellation policy.
10. Governing law and disputes
These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, except where you have mandatory consumer rights in your country of residence.
11. Changes
We may update these terms from time to time. We will post the revised version on this page and update the “Last updated” date. Continued use of our services after changes constitutes acceptance. For material changes we may notify you by email or in-product notice where appropriate.
Business subscriptions & billing
If you use Ordafy Business on a paid plan (Pro, Business+, or Enterprise), your Business Group is billed on a recurring subscription for platform features and limits — not per customer sale. One subscription covers all locations in the group.
Key points: fees are billed monthly or annually in advance via Stripe; you may upgrade or cancel from Billing; access continues until the end of the paid period after cancellation; downgrades may require archiving excess locations or team members; card processing and marketplace fees remain separate.

Product-specific terms (incorporated)
Ordafy Shop (marketplace)
The following sections apply when you use Ordafy Shop—browsing, ordering, booking services, selling, or participating in the affiliate programme on the Ordafy marketplace. They supplement the general Terms above. If anything conflicts, the general Terms control unless this section explicitly adds marketplace-specific rules for sellers, buyers, or affiliates.
Definitions (marketplace)
- Provider — seller of products; Service provider — seller of bookable services.
- Release — transfer of eligible funds to a provider's connected Stripe account after conditions are met (e.g. fulfilment, refund window).
- Payout (to bank) — provider moving funds from Stripe to their bank (e.g. Stripe payouts).
Card payments are processed by Stripe. See Payments & payouts.
Provider responsibilities
As a product or service provider you must:
- Provide accurate listings, fulfil orders and bookings, and honour your stated refund/cancellation policies.
- Comply with applicable laws, licences, tax obligations, and safety requirements.
- Handle customer service; protect buyer data; avoid overselling and prohibited goods.
Ordafy is not the seller of third-party goods/services; we operate the platform and may remove listings that violate policies or law.
Service bookings
Bookings depend on availability and provider rules. Deposits and balances are as stated at checkout. Cancellation and refunds follow each provider's policy; Ordafy facilitates refunds when permitted by those rules and payment state.
Typical fees on bookings: processing 1.75% + £0.2 per transaction; marketplace commission 1.2% when booked via Ordafy (deducted from provider payout unless otherwise shown).
Affiliate programme
Affiliates must be approved; commissions apply to platform fees as described in-programme. No self-referrals, deceptive marketing, or manipulation. Payouts use Stripe Connect; we may withhold commissions for fraud or breaches.
Payments, fund holding & payouts (marketplace)
Funds may be held until eligibility is met (product delivered / service completed, refund window such as 1 day(s) where applicable, no open disputes, Stripe Connect in good standing). Minimum release thresholds may apply. After release to Connect, providers withdraw to their bank via Stripe; Stripe may charge payout fees shown in the Stripe dashboard.
Refunds may be taken from held funds before release, or recovered per platform processes after release. Chargebacks may lead to restrictions for excessive disputes.
Content, disclaimers & disputes (marketplace)
You grant Ordafy a licence to host and promote your listing content. Report copyright concerns to support@ordafy.com. Ordafy does not warrant third-party listings; limitation of liability follows the general Terms subject to law.
Some marketplace participants may have agreed to arbitration or informal dispute steps in older standalone Shop terms; if you have a live dispute, contact support — nothing in this consolidation removes mandatory consumer rights.
Pay by Link — merchants & payers
Pay by Link lets merchants create payment links so customers can pay via Stripe Checkout. By creating, sharing, or paying through a link, you agree to this section in addition to the general Terms above.
Merchants
If you create or share payment links on behalf of an organisation, you represent that you are authorised to do so. You are responsible for the accuracy of amounts, descriptions, taxes where applicable, and compliance with law. You must not use Pay by Link for prohibited goods or services, fraud, or to circumvent acceptable use or Stripe's rules. We may suspend links or access where we reasonably believe there is a breach or risk.
Payers
When you pay through a link, your payment is processed by Stripe. The contract for what you buy is between you and the merchant who shared the link; Ordafy provides the software and payment flow. You may be asked to accept Stripe's terms where required. See also our Payments & payouts page.
Fees and availability
Platform and processing fees may apply as shown at link creation or checkout. We aim to run Pay by Link reliably but do not guarantee uninterrupted service. We may change product behaviour; material legal changes follow the general "Changes" section above.
Liability and contact (Pay by Link)
To the fullest extent permitted by law, Ordafy Limited is not liable for indirect or consequential loss arising from use of Pay by Link, subject to mandatory rights. Questions: +44 191 323 5433 · info@ordafy.com.
Point of Sale (POS)
Ordafy POS (under business.ordafy.com/pos) uses your Ordafy Business account. In-person and linked payments are processed in line with these Terms, our Payments & payouts page (Stripe, Connect, receipts), and the refund rules agreed with your customers. Staff permissions and device usage must comply with your organisation's policies and applicable law.
