Partner Agreement

1. Introduction

These Partner Agreement terms ("Agreement") govern your participation in the Ordafy Partner Program operated by Ordafy Limited ("Ordafy", "we", "us"). By applying to become a partner, accessing the partner portal at partner.ordafy.com, or accepting this Agreement in the partner dashboard, you agree to be bound by these terms.

This Agreement is separate from our general Terms of Service and applies specifically to channel partners who onboard and support businesses on the Ordafy platform.

2. Definitions

  • Partner — an individual or organisation approved by Ordafy to use the Partner Operations Platform.
  • Onboarded business — a merchant organisation registered on Ordafy with attribution to your partner account.
  • Partner portal — the authenticated dashboard and related tools at partner.ordafy.com.
  • Incentives — milestone or recurring amounts payable under your commercial schedule, as described in our Partner payouts & incentives page and your admin-configured agreement.

3. Eligibility & application

Participation is by application and admin approval only. You must provide accurate information, complete identity verification (KYC) when requested, and maintain valid bank details for payouts. Ordafy may refuse or revoke approval at its discretion. Criminal conviction disclosures collected during application are processed in line with our Privacy Policy.

4. Partner obligations

You agree to:

  • Onboard businesses honestly, with their knowledge and consent, and only where you have authority to represent or introduce them.
  • Comply with applicable laws (including data protection, anti-bribery, and fair trading) in all territories where you operate.
  • Not misrepresent Ordafy pricing, features, payout timelines, or approval outcomes.
  • Use Ordafy branding and materials only as permitted; not register confusingly similar domains or impersonate Ordafy staff.
  • Keep login credentials confidential and notify us promptly of suspected unauthorised access.
  • Escalate fraud, abuse, or serious merchant issues to Ordafy support rather than resolving them unilaterally where platform policy applies.

5. Platform access

Access to the partner portal is granted on a revocable licence basis. Feature availability may depend on your partner status (for example ACTIVE, INACTIVE, SUSPENDED, or TERMINATED). Suspended or terminated partners may have read-only or no access. Ordafy may log actions for audit, fraud prevention, and support.

6. Business onboarding

Where the portal allows you to create or update catalog, services, or settings on behalf of an onboarded business, you act as an authorised agent of that business only within the permissions Ordafy grants. You must not delete merchant accounts, bypass security controls, or perform actions reserved for business owners unless explicitly permitted. Onboarded businesses remain responsible for their own compliance, tax, and customer obligations on Business, POS, and Pay.

7. Confidentiality

Non-public information about Ordafy systems, commercial terms, other partners, or merchant data must be kept confidential and used only for programme purposes. You must not disclose admin-only incentive rates or internal health scores to third parties without consent.

8. Intellectual property

Ordafy retains all rights in the platform, trademarks, and documentation. No ownership transfers to you by participation in the programme. Feedback you provide may be used by Ordafy without obligation to you.

9. Suspension & termination

Ordafy may suspend or terminate your partner account immediately for breach of this Agreement, suspected fraud, regulatory risk, or inactivity. You may request account closure by contacting partners@ordafy.com; self-service deletion is not available in the portal. On termination, access ends; accrued payouts may be processed subject to review and offset of amounts owed to Ordafy. Attribution of existing onboarded businesses may continue or be reassigned at Ordafy's discretion.

10. Liability

To the fullest extent permitted by law, Ordafy is not liable for indirect or consequential loss arising from the programme. Our aggregate liability to you in any twelve-month period is limited to the greater of (a) amounts actually paid to you as partner payouts in that period or (b) one hundred pounds sterling (GBP 100), except where liability cannot be limited by law. You indemnify Ordafy against claims arising from your breach, negligence, or unlawful conduct in connection with onboarding or representing businesses.

Nothing in this Agreement excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under applicable law.

11. Changes to terms

We may update this Agreement by publishing a new version on ordafy.com and, where material, requiring re-acceptance in the partner portal. Continued use after the effective date constitutes acceptance where re-acceptance is not required.
